1.Who these terms cover

These terms form an agreement between you and WeCanBuy Inc. ("WeCanBuy", "we", "us") covering your use of the WeCanBuy buying-group platform as a buyer. You accept them when you submit your buyer registration, and each time you accept a revised version.

To register as a buyer you must be at least 18 years old, be a resident of Canada, and be able to receive payments to a Canadian account. If you are registering on behalf of a business, you confirm you are authorized to bind that business to these terms.

2.Becoming a verified buyer

Registration is an application, not an account. We review every submission and may approve, decline, or ask for more information at our discretion. Until your application is approved you cannot commit to deals.

Everything you tell us — your name, phone number, mailing address, payout email, HST number and, if you provide one, your business name — must be accurate and kept current. We rely on these details to verify shipments and to pay you.

Your account is personal to you. Do not share your sign-in credentials, register more than one buyer account, or let another person commit to deals in your name.

3.HST registration and business details

Every buyer must supply a valid CRA GST/HST account number at registration. This is the 15-character number issued by the Canada Revenue Agency in the form 123456789RT0001. By providing it you confirm that the number is genuine, that it is registered to you or to the business you represent, and that the registration is in good standing.

A business name is optional. Provide it if you buy through a sole proprietorship, corporation or partnership and want reimbursements and records issued under that name; leave it blank to operate as an individual.

You are solely responsible for your own tax position — including reporting the amounts we pay you, charging and remitting HST where it applies to your activity, and keeping your own records. WeCanBuy does not provide tax advice.

We may verify your HST number against CRA records and may suspend or close an account where the number is invalid, revoked, or not registered to the person or business named on the account.

4.How a deal works

A deal lists a specific product by SKU, the per-unit amount we will pay you, and how many units are available. Committing to a deal reserves units for you and creates an obligation to buy exactly that SKU — quantity is capped and reservations are first come, first served.

You purchase the item yourself, from any retailer you choose, using your own payment method. WeCanBuy is not the merchant of record for your purchase, and the reference listing shown on a deal is a convenience, not a requirement to buy from that retailer.

The amount shown on a deal is the total we pay you per unit. It is the only number you need: it already includes everything WeCanBuy will pay for that item.

5.Purchasing rules

Ship the exact SKU you committed to. Substitutions, alternate models, refurbished, open-box, or otherwise not-as-described items will be flagged on receipt and are not reimbursed at the deal amount.

Items must be new, sealed, and in original retail packaging unless a deal explicitly says otherwise, and must be lawfully acquired.

Follow the terms of the retailer you buy from, including per-customer purchase limits. Do not misrepresent who you are, use a payment method you are not authorized to use, or acquire items through fraud. Accounts involved in fraudulent purchasing are closed and reported.

Do not open a dispute or chargeback with your card issuer for a purchase WeCanBuy has reimbursed.

6.Shipping to the warehouse

Send items to the WeCanBuy receiving warehouse at 6-40 Ironside Crescent, Scarborough, ON M1X 1G4, using one of the carriers listed on the deal. Every package needs its own tracking number entered on the platform before it arrives — untracked or unannounced packages cannot be matched to your commitment.

One physical package is one shipment record. A package may carry items from more than one commitment, provided every item in it is declared.

You are responsible for the items, and for the cost and risk of shipping them, until they are received and verified at the warehouse. Keep your carrier receipt: it is what we use to resolve a package that goes missing in transit.

Ship within the window shown on the deal. Commitments that are not shipped in time may be released back to the pool.

7.Verification and reimbursement

Every item is inspected on arrival and checked against the SKU you committed to. Items that match are approved; items that are wrong, damaged, incomplete, or not in the stated condition are flagged and held while we sort it out with you.

Approved items are paid at the amount shown on the deal, sent to the payout email on your account, on the platform's regular payout cycle and subject to the minimum payout threshold. Payment timing also depends on our payment processor.

We may withhold or reverse a payment where an item fails verification, where a purchase is later refunded or charged back, or where we reasonably suspect fraud — for as long as it takes to investigate.

8.Cancellations and returns

You may cancel a commitment at any time before you buy the item, and the units go back to the pool. Once you have purchased, tell us as soon as possible if you cannot ship.

A deal can be paused, closed, or sold out before you purchase. Check that your commitment is still active before spending money — we do not reimburse items bought against a commitment that was already cancelled or expired.

Items that fail verification are, at your choice, returned to you at your cost or disposed of. Items sent to the warehouse without a matching commitment are not reimbursed.

9.Suspension and termination

You can close your account at any time. We may suspend or close an account that breaches these terms, that we reasonably believe is involved in fraud or abuse, or where we are required to by law.

Closing an account does not cancel amounts already approved and owing to you, and it does not release you from obligations for items you have already committed to or shipped.

10.Your information

We collect the details on your registration, the activity on your account, and the records of your shipments, and we use them to verify identity and eligibility, operate the platform, pay you, prevent fraud, and meet our legal and tax obligations.

We share what is necessary with our warehouse, payment and email providers, and with authorities where the law requires it. We do not sell your personal information.

11.Limitation of liability

The platform is provided on an "as is" basis. We are not responsible for the acts of retailers or carriers, for retailer price or availability changes, or for indirect, incidental or consequential losses, including lost profit or lost opportunity.

To the extent permitted by law, our total liability to you for any claim is limited to the amounts we paid or owed you in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.

12.Changes to these terms

We may revise these terms. When we do, we publish a new revision and record it against your account; we will ask you to accept the new revision before you continue using the platform. The revision you accepted is stored with your account.

13.Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute.
